3.  These Terms and our Policies

These Terms, together with our Shipping Policy, Returns & Refund Policy and Privacy Policy, are the entire agreement between us in respect of your purchase. They replace all earlier terms and representations. No variation is binding unless in writing and signed by a duly authorised representative of All-Quip.

3.1  Order of precedence

Where any conflict arises, the following order applies from highest to lowest:

•   First — any right conferred on you by the CPA, the ECT Act or any other law that cannot be excluded by agreement. Any term that conflicts with such a right is of no force to the extent of that conflict, and the remaining terms continue to apply.

•   Second — any written, signed, order-specific agreement between us, including a signed Trade Credit Account Application or a signed specification sheet for a custom manufacturing order.

•   Third — these Terms.

•   Fourth — our Shipping Policy, Returns & Refund Policy and Privacy Policy, each of which governs its own subject matter in detail and is incorporated into these Terms by reference.

3.2  Your purchase order terms

Your own standard purchase-order terms do not apply, even if we acknowledge or process your purchase order, unless we have expressly accepted them in writing.

4.  How a contract is formed

4.1  Formation

Products displayed on the Store are an invitation to do business, not an offer. A binding contract of sale comes into existence only when we accept your order. We accept your order when we dispatch it or send you a written acceptance, whichever happens first.

An automated order confirmation email acknowledges that we have received your order and payment. It is not, on its own, acceptance.

We may decline or cancel an order after confirmation where stock is unavailable, a manifest pricing error occurred, the order cannot be fulfilled within the period required by section 46 of the ECT Act, or the order raises fraud or compliance concerns. If we do, we will tell you promptly and refund you in full.

4.2  Who may purchase

You must be at least 18 years of age or have the written consent of a parent or guardian, legally capable of contracting under South African law, and buying for a lawful purpose. If you place an order on behalf of a business, you warrant that you are authorised to bind that business.

4.3  Electronic contracts

In terms of sections 11, 22 and 24 of the ECT Act, agreements concluded electronically through the Store — including by clicking or ticking an acceptance box — are valid and binding. We keep an electronic record of your acceptance, including the date, time and version accepted. Your order record, our acceptance and the tax invoice we issue together form the written record of our contract.

5.  Accounts

5.1  Registration

You may browse as a guest, but an account is required to check out, view order history and access trade pricing. You must give accurate and current information, keep your password confidential, tell us immediately at info@all-quip.co.za if you suspect unauthorised use, and take responsibility for activity under your account.

5.2  Wholesale and reseller accounts

Business customers may apply for a wholesale or reseller account to access trade pricing. Approval is at our discretion and may require verification documents. Trade pricing is for resale or business use, not for personal retail purchases placed through a business account. We may terminate a wholesale account on 30 days’ notice, or immediately for misuse or breach.

A wholesale or reseller account gives access to trade pricing. It does not, on its own, provide credit terms. Credit is available only under a separately signed Trade Credit Account Application.

5.3  Confidentiality of trade pricing

Trade pricing, discount structures and rebates we give you are confidential. You may not disclose them to any third party, competitor or other supplier without our written consent. This obligation survives termination of your account for 2 years.

5.4  Termination

We may suspend or terminate your account if you breach these Terms, act fraudulently, or misuse the Store. You may ask us to close your account at any time. Closing an account does not affect completed orders or obligations already incurred, including any amount owing on a trade credit account.

6.  Pricing, products and payment

6.1  Prices and VAT

Prices are in South African Rand and include VAT at 15% unless stated otherwise. Shipping is not included in the product price; it is calculated and displayed at checkout before you confirm your order. We are VAT-registered and issue a valid tax invoice for every purchase in terms of the Value-Added Tax Act 89 of 1991.

6.2  Product descriptions

We take care to describe products accurately. Images are representative and screen colours may differ from the physical product. Technical specifications — ATPV ratings, SANS certifications, fabric weights, composition — are provided to us by the manufacturer and are reproduced as supplied. We correct material errors promptly.

If a product does not match its description, you may return it under section 55(3) of the CPA. See our Returns & Refund Policy.

6.3  Stock availability

Listings reflect stock at the time of display and can change. If an item is unavailable we will tell you within 1 business day and offer you the choice to wait, accept a substitute, or cancel for a full refund. In terms of section 46(3) of the ECT Act, where goods are unavailable we will notify you immediately and refund any payment within 30 days of that notification. We aim to refund within 5 business days.

6.4  Pricing errors

We may correct manifest pricing errors — a price that is obviously wrong, such as a R5 000 garment listed at R5. Where you place an order at such a price we will contact you before processing and offer you the choice to buy at the correct price or cancel for a full refund. We are not bound to honour a price that results from a technical error.

6.5  Quotations

A quotation is valid for 5 business days from date of issue, or until a new price list is issued, whichever is earlier, unless we state otherwise in writing. A quotation is an invitation to do business, not a binding offer.

6.6  Payment methods

We accept credit and debit card, EFT (order held pending clearance, typically 1 business day), instant EFT, and purchase order against an approved trade credit account. Card payments are processed by our payment gateway; we do not store card numbers. By paying you confirm that you are the authorised holder of the payment method used.

7.  Orders and fulfilment

7.1  Processing

Orders placed and paid before 12:00 on a business day are processed and dispatched the same day, subject to stock. Orders placed later, or on weekends and public holidays, are dispatched the next business day.

Depending on the item, your order is fulfilled from our Pinetown stock, shipped directly to you from a supplier, or ordered in case lots and split at Pinetown. Unbranded in-stock items are dispatched the same day. Our Shipping Policy sets out the dispatch timelines for each route. Delivery times after dispatch are courier estimates, not guarantees.

7.2  The 30-day fulfilment obligation

In terms of section 46(1) of the ECT Act we undertake to execute your order within 30 days of receiving payment, unless we have agreed a longer period with you in writing — which we do for branded, custom and special-order products, and which is recorded in the written lead time we confirm at order.

If we cannot meet the agreed period, you may cancel on 7 days’ written notice and we will refund you in full within 15 business days.

7.3  Cancellation before dispatch

You may cancel an unshipped order at any time before dispatch by emailing info@all-quip.co.za with your order number. We will refund the full amount, including shipping, within 5 business days. Once dispatched, the Returns & Refund Policy applies.

This does not apply to branded or custom products once production has begun — see clause 8.1.

8.  Branded, custom and PPE-specific terms

8.1  Branded and embroidered products

Production begins only once you approve the digital proof in writing. Email approval is sufficient. Once production has begun, a branded product cannot be cancelled or returned for change of mind, although your rights in respect of a defective product, or a product produced differently to the approved proof, are unaffected.

Branding lead times run from the date you approve the proof in writing, not from the date you place your order. Where blank stock must first be sourced from a supplier, that time is added, and we confirm the total lead time in writing with your proof.

By approving a proof you accept responsibility for the accuracy of all artwork, text, names and specifications submitted; warrant that you own or are licensed to use all brand assets submitted; accept that screen colours may differ from the physical output; and accept that embroidery placement tolerances of up to ±5 mm are within industry standard and are not a defect.

8.2  Certification and appropriate use

Our PPE is certified to specified South African and international standards. By purchasing certified PPE you acknowledge that the product meets the stated standard at the time of manufacture and sale, in its original unmodified condition, and that protective performance depends on the product being used, stored, maintained and disposed of in accordance with the manufacturer’s instructions and applicable occupational health and safety law.

We supply certification documents as we receive them from the manufacturer. We are not the certifying body. Modification, incorrect laundering, contamination or physical damage may void certification.

Tell us your specification before you buy. If you require a product to meet a particular standard or a site-specific specification, tell us before purchase. We will confirm in writing whether the product meets that requirement. If we confirm it does and it does not, you may return it under section 55(3) of the CPA. This is a commitment we give, and it is not excluded by anything elsewhere in these Terms.

8.3  Arc flash and flame-retardant garments

•   Garments must be laundered strictly in accordance with the manufacturer’s care instructions. Bleach, fabric softeners and unsuitable detergents may permanently compromise arc protection and will void a defect claim relating to arc performance.

•   A garment exposed to an actual arc flash event must be removed from service immediately and destroyed, regardless of visible condition. It may not be returned for credit or resale. We will provide a destruction reference for your compliance records on request.

•   Garments that have been altered — re-hemmed, patched with non-FR material, or embroidered through the arc-rated laminate in an unauthorised area — lose their certification.

8.4  Fall arrest equipment

•   Equipment that has arrested a fall must be removed from service immediately and destroyed. It is not eligible for return, resale or credit.

•   Pre-use inspection by a competent person is mandatory before every use, in accordance with SANS 50365.

•   We accept returns of equipment that fails pre-use inspection where the failure is a manufacturing defect. Incorrect storage — UV exposure, chemical contamination, extreme temperature — is not a manufacturing defect.

9.  Delivery and shipping

Delivery is governed by our Shipping Policy, which forms part of these Terms. The key terms are below.

9.1  How shipping is charged

We do not publish a fixed shipping rate card. Shipping is quoted live at checkout, based on the delivery address, the actual and volumetric weight of your order, the parcel dimensions and the service level you select. The exact charge, including VAT, is shown to you before you confirm and pay. You may abandon your basket at any point before that at no cost.

Online orders over R750 incl. VAT ship free where the courier rate is R150 or less; all domestic orders over R2 000 ship free. Orders over 30 kg, and orders requiring palletised road freight, are quoted individually — contact info@all-quip.co.za for a written freight quotation.

9.2  Cross-border delivery

We ship internationally to a wide range of destination countries. For most destinations we ship on a Delivered Duty Paid (DDP) basis, meaning import duties and taxes are calculated and collected from you at checkout and paid to the destination customs authority on your behalf.

Where your order ships DDP, you will not be asked to pay further import duties or taxes when the goods arrive. The total shown at checkout is the total you pay. Where DDP is not available for your destination, we ship Delivered At Place (DAP) and duties are payable by the recipient on arrival — checkout will tell you which basis applies.

9.3  Risk and ownership

Risk in the goods passes to you on delivery and acceptance, evidenced by signature or confirmed proof of delivery. Ownership passes on full payment of the purchase price. Where you have paid in full and goods are lost or damaged in transit before delivery, we will replace or refund at your election — see the Shipping Policy for the claims process.

Where goods are supplied on credit terms, ownership remains with All-Quip until the account is settled in full, as set out in the Trade Credit Account Application.

9.4  Delivery address

You are responsible for giving us a correct and accessible delivery address. We are not liable for failed or delayed delivery caused by an incorrect address. Correcting an address after dispatch may attract a redirection fee charged by the carrier and passed through to you at cost.

9.5  Export and destination-market compliance

This clause applies to orders delivered outside South Africa.

•   Our PPE is certified to South African standards (SANS / SABS) and, where expressly stated for a particular product, to international standards. Certification to a South African standard is not equivalent to, and does not confer, CE marking under EU Regulation 2016/425, UKCA marking, ANSI/ISEA approval in the United States, or any other destination-market approval.

•   Where you require PPE that complies with a specific destination-market regime, you must tell us before you place your order. We will confirm in writing whether the product carries that approval, and clause 8.2 then applies to that confirmation.

•   It is the importer’s responsibility to confirm that the goods may lawfully be imported into and used in the destination country, and to hold any import permit, licence or registration required there.

•   We may decline to ship to a destination where export is restricted or sanctioned, or where we cannot satisfy ourselves that the goods may lawfully be supplied.

10.  Returns, refunds and warranty

10.1  Your statutory rights

These rights cannot be excluded and are not affected by anything in these Terms:

•   ECT Act s44 — seven-day cooling-off. You may return goods bought online within 7 days of receipt for any reason, provided they are unused and in original packaging. You pay return shipping. This right applies regardless of order size or value, including bulk orders.

•   CPA s56 — six-month implied warranty. All goods must be of good quality, free of defects, and fit for purpose for 6 months. Where they are not, you choose the remedy: refund, replacement or repair. We cannot impose a different one.

•   CPA s19–20 — inspection on delivery. You may inspect goods on delivery and refuse or return them at our cost if they do not match the description or specification.

10.2  Our voluntary return window

In addition to your statutory rights, we offer a 14-day voluntary return window for eligible unbranded, unused products in original packaging with tags intact. Full terms are in our Returns & Refund Policy.

10.3  Notice periods

Situation

Tell us within

Visible transit damage — note it on the waybill before signing

Concealed damage or shortage

5 business days of delivery

Incorrect item delivered

5 business days of delivery

Defect in materials or workmanship

Promptly on discovery, within 6 months

Non-delivery

10 business days of the expected delivery date

10.4  Products not returnable for change of mind

The following cannot be returned for change of mind, although a defective product in any of these categories remains returnable under section 56 of the CPA, and the seven-day cooling-off right in clause 10.1 is unaffected where it applies:

•   Branded, embroidered or custom products, once production has begun

•   Opened disposable PPE — gloves, masks, disposable coveralls

•   Safety footwear worn outdoors

•   Deployed fall arrest equipment

•   Arc flash garments exposed to an arc event

11.  Intellectual property

All content on the Store — product descriptions, images, pricing, logos, category structure and design — belongs to us or our licensors. You may not reproduce, copy, distribute or commercially exploit it without our written permission.

By submitting artwork for a branded order you warrant that you own or are licensed to use it, grant us a non-exclusive royalty-free licence to use and reproduce it solely to fulfil your order, and indemnify us against any infringement claim arising from artwork you supplied.

Manufacturer brand names, logos and product images remain the property of their owners. We use them as an authorised reseller. Nothing here grants you any right in them.

12.  Prohibited use

You may not use the Store for any purpose that is unlawful, harmful or deceptive. In particular you may not:

•   Place fraudulent orders or use unauthorised payment credentials

•   Impersonate another person, or misrepresent your authority to act for a business

•   Use bots or scrapers without our written permission, or attempt to access, modify or disrupt our systems

•   Systematically download product or pricing data for competitive purposes

•   Purchase products for a use that breaches occupational health and safety regulations — for example, buying arc flash garments rated below the requirement for a known hazard class

•   Resell products in a way that misrepresents their certification status or origin

13.  Privacy

Your personal information is governed by our Privacy Policy, which forms part of these Terms. We process personal information in accordance with POPIA. In summary: we collect only what we need to fulfil your order and manage your account; we do not sell your personal information; you may access, correct or request deletion of it by writing to info@all-quip.co.za; and you may adjust cookie preferences at any time.

Where you apply for a trade credit account, the Trade Credit Account Application contains a separate processing notice and consents.

14.  Limitation of liability

14.1  General

To the fullest extent permitted by law, our aggregate liability for any claim arising from these Terms or your use of the Store will not exceed the amount you paid for the order giving rise to the claim, and we are not liable for indirect, consequential, special or punitive loss, including loss of profit, loss of production or business interruption.

14.2  Statutory rights preserved

Nothing in clause 14 limits or excludes a right that cannot be excluded under the CPA or the ECT Act. Your rights under section 56 (implied warranty of quality), section 61 (product liability) and section 44 of the ECT Act (cooling-off) are unaffected, as is our liability for death or personal injury caused by a defective product.

14.3  Product liability

We acknowledge our obligations under section 61 of the CPA. As a distributor we may bear liability within the supply chain where a product causes harm. Where a defect originates with the manufacturer, we will escalate the claim to that manufacturer on your behalf.

14.4  Website availability and force majeure

We do not guarantee that the Store will be available at all times or free of error. We are not liable for failure or delay caused by circumstances beyond our reasonable control, including natural disaster, strike, civil unrest, government restriction, carrier network failure, platform outage or supplier stock failure. We will tell you as soon as reasonably possible and offer you the option to cancel for a full refund where fulfilment will be materially delayed.

15.  Indemnity

You indemnify us, our members, employees and agents against any claim, loss, damage, cost or liability arising from your breach of these Terms; your misuse of products, including use contrary to manufacturer instructions or occupational health and safety law; artwork you submitted that infringes third-party rights; false or misleading information you gave us; or any act or omission of a third party to whom you supplied products bought from us.

This indemnity does not apply to loss caused by our own breach, negligence or failure to comply with the CPA.

17.3  Governing law

These Terms are governed by South African law and are subject to the jurisdiction of the South African courts. Where both parties are businesses, we agree to attempt mediation through the Arbitration Foundation of Southern Africa before commencing litigation. This does not prevent either party from approaching a court for urgent relief, and it does not apply to a consumer.

If you are a consumer resident outside South Africa, this clause does not deprive you of the protection of any mandatory consumer-protection law of your country of residence that applies to you regardless of choice of law.

18.  General

18.1  Third-party links and platforms

Our Store may link to manufacturer websites, certification bodies and industry publications. Those links are for convenience. We do not control those sites and are not responsible for their content, privacy practices or accuracy. Our Store runs on a third-party e-commerce platform and our shipping is quoted and fulfilled through third-party shipping partners; those providers’ own terms apply to your use of their infrastructure. Our agreements with them require them to handle your information to POPIA-equivalent standards.

18.2  Amendments

We may update these Terms from time to time. We will publish the updated version with a new effective date, and where a change materially affects the rights of an account holder we will email registered account holders. Continued use of the Store after the effective date constitutes acceptance. If you do not accept an amendment, stop using the Store and contact us to close your account.

18.3  Severability

If any provision is found invalid or unenforceable, it is modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The remaining provisions continue in full force.

18.4  Waiver

Our failure or delay in enforcing a provision on any occasion is not a waiver of that provision and does not affect our right to enforce it later. No indulgence granted by us creates an estoppel.

18.5  Assignment

You may not assign your rights or obligations without our written consent. We may assign ours in connection with a sale, merger or restructuring of our business, provided this does not prejudice your rights.

18.6  Notices and domicilium

We choose the physical address in clause 1 as our address for the service of legal process. You choose your registered address, or if you have none, your principal place of business, as recorded in your account.

A notice is deemed received: on hand delivery, when delivered; by email, on the day it is sent to the address on record, unless the sender receives a delivery failure notification; and by registered post, 5 business days after posting. This clause does not limit section 23 of the ECT Act.

18.7  Electronic evidence

Neither party will object to the admissibility of a computer printout or data message solely on the ground that it is electronic evidence. Section 15 of the ECT Act applies to the evidential weight of data messages.

18.8  Interpretation

References to natural persons include juristic persons and the reverse; the singular includes the plural; and any gender includes the others. Headings are for convenience and do not affect interpretation. These Terms are written in English; where a translation is provided, the English version prevails.

18.9  No reliance

Except for representations recorded in these Terms, in our published product specifications, or in a written confirmation given under clause 8.2, no representation induced you to contract with us. This clause does not exclude liability for fraudulent misrepresentation, and it does not apply to a consumer to the extent that the CPA prevents it.
